MEDAZA EUROPE, D.O.O. — SHIPPING POLICY

Effective Date: July 1st, 2026

This Shipping Policy describes how Medaza Europe, d.o.o. ("Medaza Europe," "we," "us," or "our") handles shipping, VAT, duties, insurance, and customs clearance for Orders placed through the Medaza Europe Platform.

1. VAT on All Orders

Medaza Europe charges standard VAT on the sale price of Products, at the rate applicable to Buyer's location and the nature of the transaction, in accordance with EU and national VAT law. This VAT is shown as a line item on Buyer's invoice, unless the reverse charge exemption described below applies.

  • Domestic and same-country sales. Standard local VAT applies and is charged to all Buyers, including VAT-registered businesses. VAT registration alone does not exempt a domestic sale from VAT — this applies regardless of whether the Product originated within the EU or was imported from outside the EU and is subsequently sold domestically.
  • Genuine cross-border intra-EU B2B sales (reverse charge). Where a Product is shipped from Medaza Europe's fulfillment location in one EU member state to a VAT-registered Buyer in a different EU member state, Buyer may enter its VAT number at checkout. This VAT number is automatically validated in real time against the EU's VIES database. If validation succeeds and the shipment qualifies as a genuine cross-border movement, VAT is removed from the order at checkout under the reverse charge mechanism, and the resulting invoice will state that Buyer is responsible for reporting and paying the applicable VAT on its own VAT return. This exemption applies automatically at the point of sale based on successful validation — it is not something Buyer can claim or have refunded after an order has already been placed and invoiced with VAT included.
  • Where the exemption does not apply. The reverse charge exemption does not apply to: (a) sales where the shipping destination is the same country as the fulfillment location; or (b) any case where the VAT number provided cannot be successfully validated at the time of Order. In these cases, standard VAT is charged and shown on the invoice.
  • VAT Recovery on Standard-Rated Orders. Where standard VAT has been charged (i.e., the reverse charge exemption did not apply), a VAT-registered Buyer may be entitled to recover that VAT through its own periodic VAT return, using the invoice provided by Medaza Europe, in accordance with the VAT rules of its own jurisdiction. VAT recovery in this case is Buyer's responsibility, handled through Buyer's own accounting process. Medaza Europe does not provide tax advice and recommends Buyer consult its own accounting or tax professionals.

2. Domestic and Intra-EU Shipments

  • Shipping Cost. The cost of shipping is calculated and collected from Buyer at checkout.
  • Insurance and Signature Requirement. Medaza Europe covers the cost of shipment insurance and mandatory signature-on-delivery for domestic and intra-EU shipments, at no additional cost to Buyer. A signature from an authorized recipient is required at the time of delivery.
  • No Customs Clearance. Intra-EU shipments do not involve customs clearance, import duties, or related fees.

3. International Shipments (Non-EU Origin)

For Orders shipped from outside the EU, Medaza Europe acts as the Importer of Record (IOR) and manages customs clearance directly, including import VAT and duty obligations, so that Buyer does not need to separately arrange import clearance, brokerage, or IOR designation.

  • Import VAT. As Importer of Record, Medaza Europe is responsible for import VAT arising at customs clearance. Where available, Medaza Europe accounts for import VAT using postponed or deferred VAT accounting mechanisms in the relevant EU member state, rather than paying it as a separate upfront charge. Import VAT is not separately itemized to or collected from Buyer at checkout; instead, standard VAT (or the reverse charge exemption, where applicable per Section 1) is applied on Buyer's invoice for the subsequent domestic or cross-border sale.
  • Estimated Duties. Where supported by our checkout system, estimated import duties are calculated and collected from Buyer at checkout, based on the applicable tariff classification, country of origin, and destination country requirements at the time of Order. If, for any Order, our checkout system is unable to calculate and collect duties automatically (for example, due to incomplete product classification data), Medaza Europe will cover the resulting duty cost itself rather than passing an unbilled or after-the-fact charge on to Buyer, unless Buyer is separately notified of an additional amount due prior to shipment. Actual duties assessed by customs authorities may vary from any estimate provided at checkout; where an automated estimate was collected, Buyer remains responsible only for any difference between the estimated and actual duty amount, where applicable.
  • Shipping Cost. The cost of international shipping is calculated and collected from Buyer at checkout.
  • Insurance and Signature Requirement. Insurance and mandatory signature-on-delivery for international shipments are collected from Buyer at checkout as part of the shipping charge. A signature from an authorized recipient is required at the time of delivery.
  • Customs Clearance Costs. Customs clearance costs — including brokerage fees and IOR-related compliance costs — are covered by Medaza Europe and are not separately billed to Buyer.
  • Customs Clearance Handling. Medaza Europe, acting as Importer of Record, manages the customs clearance process for the shipment, including filing required import documentation and coordinating with its customs broker and carrier. Buyer is not required to act as importer of record or to independently manage clearance for Orders shipped through this Platform.

4. Regulatory Environment and Changes to EU Import Rules

EU customs and duty rules applicable to low-value and international shipments are subject to an ongoing regulatory transition, including changes effective July 1, 2026, and further changes anticipated through 2028. Duty rates, thresholds, and associated fees described in this Policy reflect the rules in effect as of the date of Order and may change over time as EU customs reform is phased in. Medaza Europe will update this Policy and its checkout duty and VAT calculations as applicable rules change, and encourages Buyer to review this Policy periodically.

5. General Provisions

  • Delivery Estimates. All shipping and delivery timeframes provided at checkout or in Order confirmations are estimates only and are not guaranteed. Actual delivery times may vary due to carrier delays, customs processing, or other factors outside Medaza Europe's control.
  • Regulatory Documentation. For certain medical devices, additional import documentation (including MDR-related import verification) may be required and will be handled by Medaza Europe as part of the customs clearance process described in Section 4 of our Terms of Service.
  • Failed Delivery / Signature Refusal. If a shipment cannot be delivered due to an invalid address, repeated failed delivery attempts, or refusal to sign for delivery, Buyer may be responsible for additional costs associated with reshipment, return, or storage, as applicable.
  • Order Tracking. Tracking information will be provided to Buyer once an Order has shipped.
  • Split Shipments. Orders containing multiple items may be shipped separately from different fulfillment locations or Suppliers; each shipment may arrive at a different time.
